Seller Terms & Conditions

These Seller Terms & Conditions ("Terms") form a binding agreement between you ("Consignor," "you") and Toycycle, Inc. ("Toycycle," "we," "us") when you submit any items to us for resale through our Cleanout Box, Curbside Pickup, Drop Off, or any other consignment channel we offer. By submitting items, you agree to be bound by these Terms and by the Cleanout Box Policy, which is incorporated by reference. If you do not agree, do not submit items.
1. Eligibility
- You are at least 18 years of age and able to enter into binding contracts.
- You are a resident of the continental United States. The Cleanout Box service is not available to residents of Hawaii or Alaska.
- You submit items as the legal owner, not on behalf of a third party, unless you have that party's express authorization.
2. Consignment Relationship
Toycycle operates a consignment marketplace. We do not purchase your items. You retain title to each item until it is sold to a third party, at which point title transfers from you to the buyer. Toycycle acts as your sales agent, including for the purposes of state and local sales tax collection and remittance.
3. Your Warranties About the Items
By submitting an item to Toycycle, you represent and warrant that:
- You are the sole and lawful owner of the item, free of any liens or third-party claims;
- The item is in working condition, free of significant damage or defects, has not been altered or modified, and includes all original parts and pieces;
- The item is not subject to any active recall by the U.S. Consumer Product Safety Commission, the manufacturer, or any other regulatory authority;
- The item is not counterfeit, stolen, or otherwise unlawful to sell;
- The item belongs to one of the brand or item categories we accept, as listed in the Cleanout Box Policy;
- The item has been cleaned and is ready for resale.
4. Inspection, Acceptance & Rejection
Every item is inspected by our team upon arrival at our Hayward, California warehouse. We reserve the right, in our sole discretion, to reject any item that does not meet our brand, condition, or safety standards, or that we determine is not commercially viable. Rejected items become the property of Toycycle and will be donated to a local non-profit, recycled, or otherwise responsibly disposed of. We do not return rejected items.
If a box contains an excessive number of rejected items, a disposal fee of $10–$25 will be deducted from your future payouts. We will notify you by email before assessing any disposal fee.
5. Pricing Authority
Toycycle has sole discretion over the listing price of each item, based on market research and the item's condition. Items we believe will sell for less than $15 may still be accepted but will earn the lowest payout tier. Items not sold within their first 30 days may be progressively marked down at our discretion.

All fees are deducted from your payouts. If your payout balance is insufficient, fees roll over and are deducted from future earnings.
7. Payouts
Your payout is calculated per item based on the final sale price, using the schedule below. You may choose cash (via PayPal or Venmo) or Toycycle store credit. Store credit includes a 10% bonus on top of the cash percentage.

Payouts are issued on request. You may request a payout at any time by emailing sellers@toycycle.co. We may apply a minimum payout threshold and aggregate small balances at our discretion. We are not responsible for delays, fees, or errors caused by your payment service (PayPal, Venmo, or otherwise).
7.1 Unclaimed Earnings
Earnings that remain unclaimed for 365 days after the original sale are forfeited to Toycycle. It is your responsibility to request payouts and to keep your contact information current.
8. Unsold Items & Donations
Items that remain unsold 180 days after being listed are donated to local non-profits that support families in need. Title to those items passes from you to Toycycle on the 180th day for the sole purpose of facilitating the donation. We do not return unsold items.
9. Final Sale; No Returns to Consignor
Once an item is delivered to Toycycle and accepted, you waive any claim to recall, retrieve, or replace the item. All sales of accepted items to third-party buyers are final from your perspective as the consignor. Buyer-side returns are handled by Toycycle in accordance with our store return policy and may or may not affect your finalized payout, depending on the reason for the return and whether we are able to restock the item.
10. Risk of Loss in Transit
Items sent via our prepaid shipping labels are insured up to the carrier's standard coverage. Risk of loss in transit is borne by you up to that coverage limit. We will assist with any claim against the carrier but are not liable for loss, theft, or damage that occurs before items are delivered to our warehouse.
11. Multiple Boxes
If you are new to consigning with us, please start with one box. After we review your first shipment and share any feedback, you may request additional labels. Each additional label is $5.
12. Indemnification
You agree to indemnify, defend, and hold harmless Toycycle, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) any item you submit; (b) any breach by you of these Terms or your representations and warranties; or (c) any personal injury, property damage, or product-liability claim related to an item you submitted.
13. Limitation of Liability
To the maximum extent permitted by law, Toycycle's aggregate liability to you arising out of or relating to these Terms or your use of our consignment services will not exceed the total payouts paid to you during the twelve (12) months preceding the event giving rise to the claim. In no event will Toycycle be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, even if advised of the possibility of such damages.
14. Privacy
Your name, email, phone, shipping address, payment handles, and submission history are collected and used to operate the consignment program and to communicate with you. We do not sell your personal information. See our Privacy Policy for full details.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the consignment relationship will be resolved exclusively in the state or federal courts located in Alameda County, California, and you consent to personal jurisdiction in those courts.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued submission of items after the effective date of any change constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
